By accessing our website or utilizing any of our Services, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not use our Services.

1. Eligibility

You must be at least 18 years old and legally authorized to enter into binding contracts to use our Services. If you are using the Services on behalf of a business entity, you represent that you have authority to bind that business to these Terms.

Karma Card Payments reserves the right to deny service to any applicant or merchant at its sole discretion and in accordance with applicable laws, banking regulations, underwriting requirements, and risk management policies.

2. Services Provided

Karma Card Payments provides payment processing and merchant service solutions, including but not limited to:

  • Credit card processing
  • Debit card processing
  • ACH and eCheck processing
  • Virtual terminals
  • Payment gateways
  • Point-of-sale solutions
  • Mobile payment solutions
  • Recurring billing systems
  • Chargeback management tools
  • Fraud prevention services
  • Merchant account placement and underwriting assistance

Services may be provided directly by Karma Card Payments or through third-party banking institutions, acquiring banks, processors, gateways, software providers, and financial partners.

3. Merchant Responsibilities

Merchants agree to:

  • Provide accurate and complete application information.
  • Maintain current business and contact information.
  • Comply with all applicable federal, state, local, and international laws.
  • Comply with card network rules, including Visa, Mastercard, Discover, and American Express requirements.
  • Maintain PCI DSS compliance when applicable.
  • Cooperate with underwriting, risk reviews, and compliance requests.
  • Promptly notify Karma Card Payments of material business changes.

Merchants are solely responsible for all products, services, content, advertising, and customer interactions associated with their business.

4. Prohibited Activities

You may not use the Services for any unlawful, fraudulent, deceptive, or unauthorized purpose.

Prohibited activities include, but are not limited to:

  • Money laundering
  • Identity theft
  • Fraudulent transactions
  • Unauthorized card use
  • Selling counterfeit products
  • Processing transactions on behalf of third parties
  • Illegal gambling activities
  • Violations of sanctions laws
  • Activities prohibited by acquiring banks or card brands

Karma Card Payments reserves the right to suspend or terminate accounts suspected of engaging in prohibited activities.

5. Underwriting and Approval

Submission of an application does not guarantee approval.

Merchant accounts are subject to:

  • Credit review
  • Business verification
  • Compliance review
  • Underwriting approval
  • Risk assessment
  • Banking partner requirements

Additional documentation may be required before approval or activation.

6. Fees and Pricing

Merchants agree to pay all fees disclosed in their merchant processing agreement, pricing schedule, proposal, or application documents.

Fees may include:

  • Processing fees
  • Gateway fees
  • Monthly account fees
  • Chargeback fees
  • Retrieval fees
  • PCI compliance fees
  • Equipment fees
  • Reserve requirements
  • Early termination fees (if applicable)

Pricing and fees may vary based on industry type, processing volume, risk profile, and banking requirements.

Any fee changes will be communicated in accordance with applicable agreements and regulatory requirements.

7. Chargebacks and Disputes

Merchants are solely responsible for:

  • Chargebacks
  • Retrieval requests
  • Customer disputes
  • Refunds
  • Excessive chargeback ratios

Karma Card Payments may:

  • Debit merchant accounts for chargebacks and related fees.
  • Establish reserves.
  • Hold funds during investigations.
  • Suspend processing privileges if chargeback thresholds exceed acceptable limits.

Failure to respond to disputes may result in automatic liability for the disputed transaction.

8. Reserves and Funding Holds

To mitigate financial risk, Karma Card Payments or its banking partners may establish:

  • Rolling reserves
  • Up-front reserves
  • Delayed funding schedules
  • Temporary holds
  • Transaction monitoring requirements

Reserves may be maintained for a period determined by underwriting and risk management policies.

9. PCI Compliance and Security

Merchants must comply with all applicable Payment Card Industry Data Security Standards (PCI DSS).

Merchants are responsible for safeguarding:

  • Customer payment information
  • Account credentials
  • Access to payment systems
  • Personal data

Failure to maintain appropriate security measures may result in fees, penalties, account suspension, or termination.

10. Intellectual Property

All website content, logos, trademarks, software, graphics, and materials provided by Karma Card Payments remain the exclusive property of Karma Card Payments or its licensors.

You may not copy, reproduce, distribute, modify, or create derivative works without written permission.

11. Third-Party Services

Our Services may integrate with or rely upon third-party providers, including:

  • Banks
  • Payment processors
  • Gateway providers
  • Software platforms
  • Card networks

Karma Card Payments is not responsible for outages, delays, errors, or actions caused by third-party providers.

12. Limitation of Liability

To the fullest extent permitted by law, Karma Card Payments shall not be liable for:

  • Lost profits
  • Lost revenue
  • Business interruption
  • Loss of data
  • Indirect damages
  • Consequential damages
  • Special damages
  • Punitive damages

Our aggregate liability shall not exceed the total fees paid by the merchant to Karma Card Payments during the three (3) months immediately preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Karma Card Payments, its affiliates, officers, employees, contractors, banking partners, and service providers from any claims, liabilities, damages, losses, costs, and expenses arising from:

  • Your use of the Services
  • Violation of these Terms
  • Violation of applicable laws
  • Customer disputes
  • Chargebacks
  • Intellectual property claims relating to your business

14. Termination

Karma Card Payments may suspend or terminate access to the Services at any time if:

  • You violate these Terms.
  • You present an unacceptable risk.
  • Required documentation is not provided.
  • Requested by a banking partner, processor, or regulatory authority.

Termination does not relieve you of obligations incurred prior to termination.

15. Disclaimer of Warranties

The Services are provided "AS IS" and "AS AVAILABLE."

Karma Card Payments makes no warranties, express or implied, regarding:

  • Merchant approval
  • Processing availability
  • Funding schedules
  • Revenue generation
  • Compatibility with third-party systems
  • Uninterrupted service

16. Governing Law

These Terms shall be governed by and construed under the laws of the State of California, without regard to conflict of law principles. Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in California.

17. Changes to Terms

Karma Card Payments reserves the right to modify these Terms at any time. Updated versions will be posted on our website and become effective upon posting.

Continued use of the Services constitutes acceptance of the revised Terms.
