3. Merchant Responsibilities

Karma Card Payments reserves the right to suspend or terminate accounts suspected of engaging in prohibited activities.

Submission of an application does not guarantee approval.

Merchants agree to pay all fees disclosed in their merchant processing agreement, pricing schedule, proposal, or application documents.

- PCI compliance fees
- Equipment fees
- Reserve requirements
- Early termination fees (if applicable)

Any fee changes will be communicated in accordance with applicable agreements and regulatory requirements.
7. Chargebacks and Disputes
Merchants are solely responsible for:
- Chargebacks
- Retrieval requests
- Customer disputes
- Refunds
- Excessive chargeback ratios
Karma Card Payments may:
- Debit merchant accounts for chargebacks and related fees.
- Establish reserves.
- Hold funds during investigations.
- Suspend processing privileges if chargeback thresholds exceed acceptable limits.
Failure to respond to disputes may result in automatic liability for the disputed transaction.
8. Reserves and Funding Holds
To mitigate financial risk, Karma Card Payments or its banking partners may establish:
- Rolling reserves
- Up-front reserves
- Delayed funding schedules
- Temporary holds
- Transaction monitoring requirements
Reserves may be maintained for a period determined by underwriting and risk management policies.
9. PCI Compliance and Security
Merchants must comply with all applicable Payment Card Industry Data Security Standards (PCI DSS).
Merchants are responsible for safeguarding:
- Customer payment information
- Account credentials
- Access to payment systems
- Personal data
Failure to maintain appropriate security measures may result in fees, penalties, account suspension, or termination.
10. Intellectual Property
All website content, logos, trademarks, software, graphics, and materials provided by Karma Card Payments remain the exclusive property of Karma Card Payments or its licensors.

- Chargebacks
- Intellectual property claims relating to your business
14. Termination
Karma Card Payments may suspend or terminate access to the Services at any time if:
- You violate these Terms.
- You present an unacceptable risk.
- Required documentation is not provided.
- Requested by a banking partner, processor, or regulatory authority.
Termination does not relieve you of obligations incurred prior to termination.
15. Disclaimer of Warranties

- Processing availability
- Funding schedules
- Revenue generation
- Compatibility with third-party systems
- Uninterrupted service

These Terms shall be governed by and construed under the laws of the State of California, without regard to conflict of law principles. Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in California.
